These Terms govern your access and use of Clean Handoff services (“Services”).
By using our site or engaging our Services, you agree fully to these Terms.

1. Services

Work only begins after written (email) confirmation of:
• Scope
• Fees
• Timeline
• File access

Any changes requested may modify cost or delivery time.

2. Client Responsibilities

You agree to:
• Provide complete and accurate files and instructions
• Ensure you hold all rights to any material you submit
• Respond promptly to requests that impact delivery

We are not responsible for delays or defects caused by unclear, changing, or incorrect input.

3. Intellectual Property

  • All files you submit remain entirely yours
    • Improvements or cleaned versions created by Clean Handoff are assigned to you upon full payment
    • Clean Handoff retains the right to reference anonymized outcomes as portfolio work unless you request in writing that we do not

4. Confidentiality

We will not disclose your confidential information to any third party except people needed to deliver the Service. This protection continues indefinitely, even after project completion.

5. Payment

  • All invoices must be paid as agreed
    • Work may pause if payment is late
    • Fees are non-refundable once work begins

6. Limitations of Liability

To the fullest extent permitted by law:
• We are not responsible for lost revenue, reputation damage, or indirect damages
• Our total liability is limited to the amount paid for the specific project where the issue occurred

We do not control what happens to files once handed off to the client or their partners.

7. File Risk

Clients take full responsibility for:
• How cleaned files are used downstream
• Results of development or implementation work by others

We provide production support, not creative decision-making or engineering guarantees.

8. Service Modifications

We may update our website, pricing, or offerings at any time.
Existing agreements are not affected unless mutually agreed in writing.

9. Governing Law

These Terms are governed by the laws of the United States. Disputes will be resolved in U.S. jurisdiction.

10. Termination

Either party may terminate ongoing work in writing.
Client remains responsible for all completed work and work in progress up to the date of termination.
